Thank you for visiting our website.  We are committed to protecting your privacy and, for that reason, we have adopted this Privacy Policy to explain our data collection, use, and disclosure practices for our services (including our websites, web portals, and mobile and web-based applications, and any other tools, products, or services provided by us that link to or reference this Privacy Policy) (collectively, the “Services”).  The Services are owned and operated by Zep, Inc., a Delaware corporation and/or our affiliated companies in the United States and Canada, including, without limitation, Amrep, Inc. and Acuity Specialty Products, Inc. (individually and collectively, “Zep,” “we,” “us” or “our”).

This Privacy Policy applies to information Zep collects through the Services, as well as other information provided to us online or offline by third parties, when we associate that information with customers or users of the Services; however, it does not apply to information collected from our employees, contractors, or vendors.  It also does not apply to information that you ask us to share with third parties or that is collected by certain other third parties whose software or services are featured or included in the Services (as further described below).

This Privacy Policy outlines and describes, among other things:

·         The Personal Data and other data that Zep may collect about you,

·         How Zep uses and safeguards that data,

·         How we may share your information with third parties; and

·         Your choices regarding the Personal Data we collect about you.

 

This Privacy Policy is designed to provide notice to individuals regarding Personal Data in an effort to be compliant with the applicable data privacy laws and regulations of the jurisdictions in which Zep operates.

Zep encourages our employees, independent contractors, customers, suppliers, commercial visitors, business associates, investors and other interested parties to read this Privacy Policy. By using our Services or submitting Personal Data to Zep by any other means, you acknowledge that you understand and agree to be bound by this Privacy Policy, and agree that Zep may collect, process, transfer, use and disclose your Personal Data as described in this Privacy Policy.

1. Consent

By accessing or using the Services, you consent to this Privacy Policy.  If you do not agree with this Privacy Policy, please do not access or use the Services.  Information gathered through the Services may be transferred, used, and stored in the United States or in other countries where our service providers or we are located.  If you use the Services, you agree to the transfer, use, and storage of your Personal Data (as defined below) in those countries. The data protection and other laws of the United States and other countries might not be as comprehensive as those in your country. You agree that all transactions relating to the Services or Zep are deemed to occur in the United States, where our servers are located.

2. Collection of Your Personal Data and Other Information

Zep is committed to maintaining all reasonable precautions to ensure the privacy and security of Personal Data gathered by Zep. When you register for or use our Services or otherwise communicate with Zep, Personal Data may be collected and processed by Zep. By “Personal Data,” mean information that can identify or reasonably be linked to an individual, such as personal contact information (e.g. name, company, address, telephone number and e-mail address), which you knowingly provide either by registration, survey, answering questions or otherwise for use in our commercial relationship. At times we may collect additional Personal Data that you voluntarily provide, including, but not limited to, job title, additional contact information, date of birth, hobbies, areas of interest, professional affiliations, and information contained in any image, photograph or profile you submit to us. We may also collect your credit card or debit card information, which you submit for payment purposes and which is collected by our third party payment gateway service providers (such as Shopify or PayPal ).

Furthermore, we may collect Personal Data from you when you communicate with to submit a request or inquiry regarding the return or exchange of any product purchased from Zep. Our Services may integrate with social media platforms, including Google.  When you connect a social media account to our Services, then we may collect information about that social media account and share information with that social media account as described in the connection process. This collected information may include, but is not limited to, your name, email address, demographic information from your profile, friend lists, postings or other content, and your profile picture.  You acknowledge and agree that Zep is not responsible for the data collection or use practices of any such connected social media platform.  You should read each social media platform’s privacy policy before connecting that social media account.

You may choose not to provide Personal Data, (subject to the controls offered by your mobile device’s operating system), but this may prevent you from receiving certain features of the Services.

Information collected by the Services may be collected by us or one of the third parties we utilize in providing the Services (as further described below).

3. Use of Personal Data

Zep’s Services are intended to be used by Zep customers, commercial visitors, business associates, investors, and other interested parties for business purposes. Personal Data collected by Zep through its Services or by other means is used in support of our commercial relationship with you, including, but not limited to, the (a) processing of customer orders and processing transactions, (b) orders from vendors, (c) setting up, managing and protecting accounts to use the Services, (d) learning about customers’ needs and providing customer service, (e) responding to inquiries, (f) providing, maintaining and protecting the Services; (g) providing access to information; (h) improving our online operations; and (i) managing and maintaining the systems that provide the Services. Also, in compliance with the laws and regulations of the relevant jurisdiction to support our relationship with you:

·         we may share Personal Data with our worldwide affiliates (“Affiliates”) to better understand your business needs and how we can improve our products and services;

·         we may use third party Service Providers (as defined in Section 4) to assist us in collecting, assembling or processing Personal Data in connection with Services related to our business relationship;

·         we (or a third party on our behalf) may use Personal Data to contact you about a Zep offer in support of your business needs or to conduct online surveys to understand better our customers’ needs;

·         we may use the Personal Data we collect to communicate with you, such as provide you with account- or transaction-related communications, or other newsletters, RSS feeds, and/or other communications relating to the Services;

·         we may use the Personal Data we collect to send or display offers and other content that is customized to your interests or preferences;

·         we may use the Personal Data we collect to perform research and analysis aimed at improving our products and services and developing new products or services; and

·         we may use Personal Data for marketing and promotional activities.


If you choose not to have your Personal Data used to support our customer relationship (especially direct marketing or market research), we will respect your choice. We do not sell your Personal Data to third parties, nor share it with third parties except as set forth in this Privacy Policy. Zep will retain your Personal Data as long as you maintain a customer relationship with Zep and/or if you have registered to receive marketing or other communication from Zep, until such time as you request that we delete such Personal Data.

If you prefer not to receive email marketing materials from us, you may opt-out at any time by sending a request to privacy@zep.com.

4. Disclosure of Your Information

We may disclose your Personal Data to third parties as described below. We may disclose Personal Data to provide the Services, or when you authorize or instruct us to do so, for example, when you use the Services to submit content or profile information.

We may also disclose Personal Data and non-Personal Data (as defined below in Section 6) to Service Providers. By “Service Providers” we mean companies, agents, contractors, service providers, or others engaged to perform functions on our behalf (such as processing of payments, provision of data storage, hosting of our website, marketing of our products and services, and conducting audits).

Zep is the commercial operator of its Services and uses Service Providers to assist in hosting or otherwise acting as data processors, to provide software and content for our Services and to provide other services. When we use a Service Provider, we require that the Service Provider use and disclose the Personal Data received from us only to provide their services to us or as required by applicable law. Zep may disclose Personal Data supplied by you to these third parties who provide such services under contract to protect your Personal Data.

We may also disclose Personal Data and non-Personal Data to Online Tool Providers.  By “Online Tool Provider” we mean a licensor of software that we include in, or use with, the Services, including an API or SDK, that provides a specialized function or service to us and that requires the transmission of Personal Data and/or non-Personal Data to the Online Tool Provider.  Online Tool Providers may have the right to use Personal Data and non-Personal Data about you for their own business purposes.  Use and disclosure of Personal Data and non-Personal Data by an Online Tool Provider is described in its privacy policy. See Section 8 below for some of the key Online Tool Providers we use 

We may partner with advertisers to provide you with special offers, or to advertise products or services to you.  If you redeem or respond to an offer, we may provide your Personal Data to the advertiser, including your name, email address, and gender. If you answer questions or fill out surveys from an advertiser, we may share information with that advertiser. The advertiser’s privacy policy will govern their use of your information, which may include marketing of other products or services to you. You should read each advertiser’s privacy policy before providing information to that advertiser.

Zep’s webstore is hosted by Shopify, and Shopify processes your data when you visit and make purchases on Zep’s webstore, including providing services based on your interactions with other merchants and with Shopify.  Your information will be shared with Shopify and other third parties that may be located in other countries, in order to provide services to you, including those that incorporate data from your interactions with other merchants and with Shopify. In addition, where consistent with the laws and regulations of the relevant jurisdiction, Zep may disclose Personal Data to third parties when we believe, in good faith and in our sole discretion, that such disclosure: 

                is a use of the Personal Data for an additional purpose that is directly related to the original purpose for which the Personal Data was collected;

·         is reasonably necessary to prepare, negotiate and perform a contract with you;

·         is reasonably necessary to enforce or apply the terms and conditions of the Services, including investigation of potential violations thereof

·         is required to comply with legal or regulatory requirements or an enforceable governmental request;

·         is reasonably necessary to establish or preserve a legal claim or defense;

·         is reasonably necessary to submit insurance claims, cooperate with insurance investigations, and fulfil insurance subrogation activities;

·         is reasonably necessary to prevent a crime or protect the security of Zep, its Affiliates, or third parties; or,

·         is reasonably necessary to detect, prevent, or otherwise address fraud, security or other technical issues, or other illegal activities, such as willful attacks on Zep information technology systems.

Finally, we reserve the right to transfer information (including your Personal Data) to a third party in the event of a sale, merger, or transfer of all or substantially all of the assets of our company relating to the Services, or in the unlikely event of a bankruptcy, liquidation, or receivership of our business. We will use commercially reasonable efforts to notify you of such transfer, for example, via email or by posting notice on our website.

Lastly, we may also disclose non-Personal Data, aggregated with information about our other users, to our clients, business partners, merchants, advertisers, investors, potential buyers and other third parties if we deem such disclosure, in our sole discretion, to have sound business reasons or justifications.

5. International Data Transfer

For our customers in the European Union (EU), please note that Zep (as a US based company) operates also through its direct and indirect subsidiaries in countries outside of the EU (including the US) and may involve certain third parties (as described above). If you use our Services , all information, including Personal Data, may be transferred to Zep (including subcontractors that may be maintaining and/or operating our website) in the United States and elsewhere and may be transferred to third parties that may be located anywhere in the world. Although this may include recipients of information located in countries where there may be a lower level of legal protection for your Personal Data than in your location country, we will protect your information in accordance with requirements applicable to your information and/or location. By using our Services, you unambiguously consent to the transfer of your Personal Data and other information to the United States and elsewhere for the purposes and uses described herein.

6. Non-Personal Data Collected Automatically

When you access Zep’s Services, we may also collect non-Personal Data relating to the Services, that is, information that does not personally identify an individual.  The non-Personal Data we collect includes how you interact with the Services, information generally collected or “logged” by Internet websites or Internet services when accessed or used by users, information about the type of Internet browser, device and operating system used, domain name of the website from which you came, number of visits, average time spent on the site, pages viewed). Examples of the non-Personal Data we collect are:

·         The pages of our website that you viewed during a visit;

·         What information, content or advertisements you view or interact with using the Services;

·         Language preferences;

·         The city and state in which you are located (but not your precise geographic location); and

·         Unique identifiers that are not connected and cannot reasonably be connected to your identity.

 

We may use this Non-Personal Data and share it with our Affiliates and related Service Providers to monitor the attractiveness of our Services and improve their performance or content. In this case, processing is performed on an anonymous basis and at Zep’s discretion.

 

We will not use non-Personal Data to try to identify you, and if we associate any non-Personal Data with information that personally identifies you, then we will treat it as Personal Data. As discussed in more detail below, we sometimes use cookies and other automatic information gathering technologies to gather Personal Data and non-Personal Data.

7. Other Online Data

In addition, certain online technical applications or other interactions you have with Zep may require the entry of business and technical data. By providing the requested information, you are consenting to the processing and storage of such information by Zep. Unless Zep is advised that you want this information removed from Zep ’s server, such information may be retained by Zep and used for future commercial communications. A request for removal of this information can be made at the contact information provided below. Zep will take all reasonable precautions to assure that no such information will be provided or divulged to other third parties, except, if applicable, those third parties performing site hosting, maintenance, and related site service activities.

8. “Cookies” and Automatic Information Gathering Technologies

Every time you use our Services, we collect Personal Data and non-Personal Data regarding that use.  For example, to improve our Services, we collect how, when, and which parts of the Services or their features you use.  Also, we may use your device’s unique identifier (UDID) or other unique identifiers to assist us in collecting and analyzing this data.

 To assist us in collecting and storing this Non-Personal Data, we may employ a variety of technologies, including “Cookies,” local browser storage, and “web beacons,” “pixels,” or “tags.” Cookies are information stored automatically on a website user’s computer by a website operator or, as applicable, a third party. A web beacon, pixel or tag is a small, usually-transparent image or script placed on a web page that allows the operator of that image or script, which may be the operator of the website you visit or a third party, to read or write a Cookie.  When a user views Zep’s Services, Zep may store some data on the user’s computer in the form of a “cookie” to automatically recognize the user upon future visits to Zep’s Services.

Your operating system and web browser may allow you to erase information stored in Cookies and local browser storage. But if you do so, you may be forced to login to our Services again and you may lose some preferences or settings.  You may also be able to set your browser to refuse all website storage or to indicate when it is permitted, but some features of our Services may not function properly without it.

9. Children

Zep will not knowingly collect Personal Data from children under the age of 18. Zep’s Services are not intended for individuals under 18 years of age. Zep does not authorize users under 18 years of age to use the Services.

10. Information Security and Data Integrity

Zep will take reasonable precautions and utilize reasonable information security measures to protect and safeguard your Personal Data to secure against the risk of loss, misuse, unauthorized access, modification disclosure, alteration and destruction. For example, we utilize Secure Socket Layer (SSL), Transport Layer Security (TLS), or similar encryption technology when sensitive data is transmitted over the Internet, and use firewalls to help prevent external access into our network.  However, no data transmission over the Internet and no method of data storage can be guaranteed to be 100% secure.  Therefore, while we strive to use commercially acceptable means to protect your Personal Data, we cannot guarantee its security.

Zep periodically reviews its security measures in an effort to ensure the privacy of Personal Data. Zep will use Personal Data only in ways that are compatible with the purposes for which it was collected or subsequently authorized by you. While Zep will take reasonable steps to ensure that Personal Data is relevant to its intended use, accurate, complete, and current, Zep is also relying upon each individual to assist in providing accurate updates of his or her Personal Data.

We restrict access to Personal Data in our possession to our employees, Service Providers, and Online Tool Providers who need to know that information in order to operate, develop, improve or support our Services.

11. Links to Other Websites

Please note that Zep’s Services may link or integrate with third-party websites, services or apps owned and operated by third parties. We are not responsible for the privacy or security policies or practices or the content of such third parties. By accessing these links, which are provided for your convenience, you will leave our Services and will be subject to the privacy and security policies and terms of service of the other website. Accordingly, we encourage you to review the privacy and security policies and terms of service of those third parties so that you understand how they collect, use, share and protect your information. This Privacy Policy does not apply to any Personal Data you provide to unrelated third parties.

12. Data Retention

In general, Zep will only retain Personal Data for as long as needed for the specific purpose of processing and in accordance with Zep 's records management policy, or as otherwise required by the laws and regulations of a particular jurisdiction. For example, data will be retained during the time period that you are authorized to use Zep Services, including any Zep tools accessible through our Services. Upon termination of such authorization, your Personal Data related to use of Zep’s Services will be destroyed.


If printed on paper, the Personal Data will be destroyed in a secure manner, such as by cross-shredding or incinerating the paper documents or otherwise and, if saved in electronic form, the Personal Data will be destroyed by technical means to ensure the information may not be restored or reconstructed at a later time

13. Data Access and Correction; Transparency and Choice; Do Not Track Signals

Upon request by sending an email to privacy@zep.com, Zep may grant individuals reasonable access to Personal Data that it holds about them. We will try to locate and provide you with your Personal Data and give you the opportunity to correct this data, if it is inaccurate, or to delete it, at your request. You may request access to your Personal Data by sending an email to privacy@zep.com.  But, in either case, we may need to retain it for legal reasons or for legitimate business purposes. You may also remove any content that you post to the Services using the deletion or removal options within the Services.  However, we (and you) are not able to control information that you have already shared with other users or made available to third parties through the Services. If you need further assistance with removing any content you posted through the Services, you can email us at privacy@zep.com. Removal of your posted content may not ensure complete or comprehensive removal from our computer systems.

In addition, Zep will take reasonable steps to permit individuals to correct, amend, or delete information that is demonstrated to be inaccurate or incomplete. Zep also relies upon each individual to assist in providing accurate updates of his or her Personal Data. We will make all required updates and changes within the time specified by applicable law and as required by law. When permitted by law, we may charge an appropriate fee to cover the costs of responding to the request. Such requests may be submitted to privacy@zep.com .

We ask individual users to identify themselves and the information requested to be accessed, corrected, or removed before processing such requests, and we may decline to process requests that are unreasonably repetitive or systematic, require disproportionate technical effort, jeopardize the privacy of others, would be extremely impractical (for instance, requests concerning information residing on backups), or relate to information that is not associated with your Personal Data.  In any case, where we provide information access and correction, we perform this service free of charge, except if doing so would require a disproportionate effort.   We may also require you to verify your identity to our satisfaction before providing you with access to Personal Data.

Please be aware that if you request us to delete your Personal Data, you may not be able to continue to use the Services.  Also, even if you request that we delete your Personal Data, we may need to retain certain information for a limited period of time to satisfy our legal, audit and/or dispute resolution requirements.

We support the development and implementation of a standard "do not track" browser feature that provides customers with control over the collection and use of information about their web-browsing activities. Once a standardized "do not track" feature is released, we intend to adhere to the browser settings accordingly.

You can opt out of receiving marketing e-mails from us by clicking on the “unsubscribe” link in the e-mails.  Please note that it may take up to ten (10) business days for your opt-out request to be processed.  Also, even if you opt out of marketing e-mails, we may continue to send you certain account-related e-mails, such as notices about your account and confirmations of transactions you have requested.

14. Certain State Residents

You may be aware that certain states in the United States have enacted mandatory privacy laws that provide residents of those states with certain rights regarding their Personal Information.  As of the date this Privacy Policy was last updated, such states include California, Virginia, Colorado, Connecticut, Utah, Oregon, Texas, Montana, Delaware, Iowa, Nebraska, New Hampshire, and New Jersey. If you have an objection to the use of your Personal Data as described in this Privacy Policy, you may file a complaint by sending an email to privacy@zep.com.  We will attempt to accommodate your objection or complaint, but you understand that, to the extent you object to our processing of Personal Data that is necessary for us to provide the Services to you, certain features and functionalities of the Services may no longer be available to you.  Nothing in this Privacy Policy prejudices your rights to file a complaint with the Office of the Privacy Commissioner of Canada, and/or with any other applicable data protection authorities.

17. Changes to this Privacy Policy

Zep reserves the right to modify or update this Privacy Policy from time to time with or without prior notice by posting the updated policy on this page, in order to ensure that it accurately reflects the legal and regulatory environment and our data collection principles. If we make any material changes to this Privacy Policy, we will notify you by reasonable means, which may be by e-mail or posting a notice of the changes on our website prior to the changes becoming effective. You can always check the “Last Updated” date at the top of this document to see when the Privacy Policy was last updated . We encourage you to check this Privacy Policy from time to time. IF YOU DO NOT AGREE TO CHANGES TO THIS PRIVACY POLICY, YOU MUST STOP USING THE SERVICES AFTER THE EFFECTIVE DATE OF SUCH CHANGES (WHICH IS THE “LAST UPDATED” DATE OF THIS PRIVACY POLICY).

18. Liability

In the event that Zep transfers Personal Data to a third-party Service Provider for processing on Zep’s behalf and such third party processes the Personal Data in a manner inconsistent with the above-stated privacy principles, then Zep will bear liability in accordance with applicable law and, if applicable, the terms of any relevant contract, unless Zep is not responsible for the event giving rise to related damages.
